Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 10, 2013, Rick C. White resigned from the Board of Directors (the “Board”) of Fusion-io, Inc. (the “Company”) effective immediately. Mr. White did not serve on any committees of the Board. Mr. White’s resignation was not related to any issues regarding the integrity of the Company’s financial statements or accounting policies and practices.
