Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 5, 2013, Richard W. Bregard submitted a letter of resignation stating his intent to retire from his position as Vice President and Deputy to the President of GenCorp Inc.’s Aerojet-General Corporation subsidiary (“Aerojet”), effective June 30, 2013.

Since February 6, 2012, Mr. Bregard has been employed pursuant to a retention agreement (the “Retention Agreement”) to ensure that Mr. Bregard remained with Aerojet through at least November 30, 2012 and to encourage a successful transition to Mr. Bregard’s retirement.  The Retention Agreement was amended on February 12, 2013, to, among other things, extend the retention period until May 31, 2013 and provide a retention bonus in the amount of $200,000, less applicable withholdings and deductions, if Mr. Bregard remained employed through the retention period or was terminated under an Eligible Early Termination (as defined in the Retention Agreement).
