On May 10, 2013, Gastar Exploration USA, Inc. issued a press release announcing that it has priced its private placement of senior secured notes due 2018 to eligible purchasers, which are expected to be eligible for resale under Rule 144A or Regulation S of the Securities Act of 1933, as amended. A copy of the press release, dated May 10, 2013, is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
