Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 8, 2013, Mr. Brian S. Cooper gave notice of his decision to resign from his position as Senior Vice President, Chief Financial Officer, Treasurer and Secretary of Westell Technologies, Inc. (the “Company”) in order to pursue other interests. To ensure an orderly transition of his responsibilities, Mr. Cooper's resignation will be effective following the date on which the Company files its Annual Report on Form 10-K for the year-ended March 31, 2013, which is expected to occur on or about May 24, 2013. The Company's search for his successor is expected to be launched as soon as practicable.
