(b) Director Retirement
On April 5, 2013, Mr. E. William (Bill) Barnett, who has served as a member of the board of directors of Westlake Chemical Corporation (the “Company”) since 2006, informed the Company that he has decided to retire from the board after completing his current term, which will expire at the 2013 annual meeting of stockholders of the Company. As a result, Mr. Barnett will not stand for re-election at the annual meeting. The Company issued a press release announcing Mr. Barnett’s plans on April 5, 2013, which is attached to this report as Exhibit 99.1 and incorporated herein by reference.
