Item 4.01.        Changes in Registrant’s Certifying Accountant.

 

On April 2, 2013, Advanced Voice Recognition Systems, Inc. (the “Company”) dismissed its principal accountant, Borgers & Cutler CPAs PLLC (“B&C”). 

 

On April 2, 2013, the Company’s Board of Directors approved the engagement of B F Borgers CPA PC (“Borgers”) as the Company’s principal accountant effective for the remainder of the fiscal year ending December 31, 2013.

 

Each of B&C’s reports on the Company’s financial statements for the fiscal years ended December 31, 2012 and 2011 included an explanatory paragraph relating to the uncertainty of the Company’s ability to continue as a going concern.  Except as described above, B&C’s reports on the Company’s financial statements for the fiscal years ended December 31, 2012 and 2011 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope, or accounting principles.  During the fiscal years ended December 31, 2012 and 2011, and through the date of this filing there were not any disagreements with B&C on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreement(s), if not resolved to B&C’s satisfaction, would have caused B&C to make reference to the subject matter of the disagreement(s) in connection with its report.

 

Pursuant to Item 304(a)(3) of Regulation S-K, the Company provided B&C with the foregoing disclosure and requested that B&C furnish it with a letter addressed to the Securities and Exchange Commission (the “SEC”) stating whether or not it agreed with the Company’s statements in this Item 4.01 of this Current Report on Form 8-K, and that such letter be furnished to the Company so that it can be filed with the SEC.  Attached to this Form 8-K as Exhibit 16.1 is a copy of B&C’s letter, dated April 8, 2013.

 

During the fiscal years ended December 31, 2012 and 2011, and through the date of this filing, neither the Company nor anyone acting on its behalf consulted with Borgers regarding any of the matters or events described in Items 304(a)(2)(i) and (ii) of Regulation S-K.
