Explanatory Note


This Amendment No. 4 to the Registration Statement on Form S-1, as amended (Registration No. 333-186571), of Blue Water Restaurant Group, Inc. is filed for the sole purpose of filing a current consent letter from M & K CPAS, PLLC, our independent registered public accounting firm as an exhibit to such Registration Statement.  This Amendment No. 4 does not modify any provision of the prospectus constituting Part I or the other Items of Part II of the Registration Statement.  Accordingly, the prospectus has not been included in this Amendment No. 2.
