Press Release and Presentation for Stockholders, their Financial Advisors and Other Parties

On March 25, 2013, Cole Credit Property Trust III, Inc. (the “Company”) issued an investor presentation providing additional details for why its previously announced acquisition of Cole Holdings Corporation (“Cole Holdings”) is in the best interests of the Company and its stockholders. The investor presentation is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference. The Company also issued a press release in connection with the issuance of the investor presentation; this press release is attached to this Current Report on Form 8-K as Exhibit 99.2, which is incorporated by reference herein.

This Item 7.01 and the attached Exhibit 99.1 and Exhibit 99.2 are provided under Item 7.01 of Form 8-K and are furnished to, and shall not be deemed to be “filed” with, the Securities and Exchange Commission (the “SEC”).

 

Item 8.01. Other Events.

On March 25, 2013, Cole Holdings distributed a letter to financial advisors providing additional details regarding the previously announced acquisition of Cole Holdings by the Company. A form of the letter is attached to this Current Report on Form 8-K as Exhibit 99.3, and is incorporated by reference herein.
