Item 5.07.

Submission of Matters to a Vote of Security Holders

  

On March 7, 2013, Bassett Furniture Industries, Inc. (the “Corporation”) filed a Current Report on Form 8-K (the “Original Report”) to report the final results for each of the matters submitted to a vote of stockholders at its 2013 Annual Meeting of Stockholders held on March 6, 2013 (the “Annual Meeting”). The Corporation is filing this amendment to the Original Report to report that, consistent with the Board of Directors' recommendation in the proxy statement for the Annual Meeting and the voting results, the Corporation has determined to hold an advisory vote on the compensation of the Corporation's named executive officers every year, until the next advisory vote on the frequency of say-on-pay votes is required under Section 14A of the Securities Exchange Act of 1934, as amended, or until the Board of Directors otherwise determines that a different frequency for such votes is in the best interests of the Corporation's stockholders will occur no later than the Corporation’s 2014 Annual Meeting of Stockholders.
