Document Security Systems, Inc. Announces 2012 Fourth Quarter and Full-Year Financial Results

ROCHESTER, NY--March 6, 2013 — Document Security Systems, Inc. (NYSE MKT: DSS), a leading developer of anti-counterfeiting, anti-fraud and authentication technologies for governments, corporations and financial institutions, today announced preliminary fourth quarter and full-year 2012 financial results.

 

Revenues for fourth quarter of 2012 were $5.4 million, a 30% increase over the fourth quarter of 2011. Revenues for the full year of 2012 were $17.1 million, a 28% increase from 2011 resulting from significant growth in the Company’s Packaging and Licensing and Digital Solutions divisions, which grew by 59% and 26%, respectively.

 

Gross profit for the fourth quarter of 2012 was $1.6 million, a 40% increase over the fourth quarter of 2011. Gross profit for the full year of 2012 increased 37% to $5.7 million from $4.2 million in 2011. The gross profit improvement reflects the Company’s better sales mix along with reductions in production costs, especially at the Company’s commercial and security printing division.

 

Adjusted EBITDA (earnings before interest, taxes, depreciation, amortization, stock based compensation and other non-recurring items, including professional fees for the Company’s pending merger with Lexington Technology Group) for the fourth quarter of 2012 was a loss of $280,000, or a 49% improvement over the adjusted EBITDA loss of $545,000 for the fourth quarter of 2011. For the full year of 2012, adjusted EBITDA was a loss of $1,314,000, or a 43% improvement over the adjusted EBITDA loss of $2,309,000 in 2011.

 

The Company recorded a net loss for the fourth quarter of 2012 of $1,117,000, or a net loss of $0.05 per share compared to a loss of $955,000 or $0.05 per share in the fourth quarter of 2011. On a full year basis, net loss was $4.3 million or $0.21 per share in 2012, compared to a net loss of $3.2 million or $0.17 per share in 2011. The increase in net loss for the fourth was primarily the result of non-recurring professional fees related to the proposed merger. The increase in net loss for the full year was primarily due to professional fees related to the potential merger with Lexington Technology Group, and to a lesser extent the effects of a one-time income amount recorded in the first quarter of 2011 due to a change in the fair value of a derivative liability that did not re-occur in 2012 and an immediate amortization of note discount expense recorded in the first quarter of 2012. These three items in aggregate amounted to $1,345,000. Absent these items, net loss for 2012 would have decreased approximately 9% from 2011

Adjusted EBITDA: Non-GAAP Financial Performance Measure

 

The Company uses Adjusted EBITDA as a non-GAAP financial performance measurement. Adjusted EBITDA is calculated by the Company by adding back to net income (loss) interest, income taxes, depreciation and amortization expense as further adjusted to add back stock-based compensation expense and non-recurring items, such as gain on the change in fair value of derivative liability and costs related to the Company’s potential merger with Lexington Technology Group. Adjusted EBITDA is provided to investors to supplement the results of operations reported in accordance with GAAP. Management believes Adjusted EBITDA is useful to help investors analyze the operating trends of the business before and after the adoption of FASB ASC 718 and to assess the relative underlying performance of businesses with different capital and tax structures. Management believes that Adjusted EBITDA provides an additional tool for investors to use in comparing its financial results with other companies in the industry, many of which also use Adjusted EBITDA in their communications to investors. By excluding non-cash charges such as amortization, depreciation and stock-based compensation, as well as non-operating charges for interest and income taxes, investors can evaluate the Company's operations and its ability to generate cash flows from operations and can compare its results on a more consistent basis to the results of other companies in the industry. Management also uses Adjusted EBITDA to evaluate potential acquisitions, establish internal budgets and goals, and evaluate performance of its business units and management. The Company considers Adjusted EBITDA to be an important indicator of the Company's operational strength and performance of its business and a useful measure of the Company's historical and prospective operating trends. However, there are significant limitations to the use of Adjusted EBITDA since it excludes interest income and expense and income taxes, all of which impact the Company's profitability and operating cash flows, as well as depreciation, amortization and stock based compensation. The Company believes that these limitations are compensated by clearly identifying the difference between the two measures. Consequently, Adjusted EBITDA should not be considered in isolation or as a substitute for net income (loss) presented in accordance with GAAP. Adjusted EBITDA as defined by the Company may not be comparable with similarly named measures provided by other entities. The following is a reconciliation of Net Loss to Adjusted EBITDA loss.
