Item 2.02        Results of Operations and Financial Condition.

On February 26, 2013, The Middleby Corporation (the “Company”) issued a press release announcing certain preliminary financial results for the fourth quarter and fiscal year ended December 29, 2012. A copy of that press release is furnished as Exhibit 99.1 hereto and incorporated herein by reference.

On February 22, 2013, the Company’s Board of Directors authorized the repurchase of up to an additional 1,000,000 shares of the Company’s common stock under the Company’s existing share repurchase program.
