Item 8.01 Other Events.

As previously disclosed, on February 5, 2013, Dell Inc., a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Denali Holding Inc., a Delaware corporation (“Parent”), Denali Intermediate Inc., a Delaware corporation and a wholly-owned subsidiary of Parent (“Intermediate”), and Denali Acquiror Inc., a Delaware corporation and a wholly-owned subsidiary of Intermediate (“Merger Sub”), providing for the merger of Merger Sub with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly-owned subsidiary of Intermediate. A description of certain terms of the Merger Agreement is set forth in the Company’s Current Report on Form 8-K filed with the SEC on February 6, 2013 and incorporated by reference herein.

In connection with the proposed debt financing for the Merger, the Company intends to provide potential lenders with an information memorandum containing certain information with respect to the Merger Agreement, which has not been previously publicly disclosed. Such information is disclosed below.

In connection with the Merger and in accordance with the Merger Agreement, the Company expects to redeem in full its $500 million 1.40% Senior Notes due September 2013, its $500 million 5.625% Senior Notes due April 2014, and its $400 million 2.10% Senior Notes due April 2014, in each case to the extent such Senior Notes have not already been paid at stated maturity in accordance with their respective terms.
