Item 8.01 Other Events.
On February 15, 2013, Nexstar Broadcasting Group, Inc. (the “Company”) issued a news release announcing the exercise of an over-allotment option by the underwriter to purchase an additional 450,000 shares of the Company’s Class A common stock from selling stockholders in connection with the Company’s previously announced secondary offering by selling stockholders. A copy of the news release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
