ITEM 7.01 REGULATION FD DISCLOSURE.

On February 13, 2013, PVH Corp. (the “Company”) announced the completion of its previously announced acquisition of The Warnaco Group, Inc., as well as the closing of a related senior secured credit facility. A copy of the press release announcing the transactions is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
