Item 8.01 Other Events
On February 4, 2013, WellCare Health Plans, Inc. (“WellCare”) announced that it had completed the acquisition of UnitedHealthcare’s Medicaid business in South Carolina from UnitedHealth Group Inc. On October 31, 2012, WellCare announced that it had entered into an agreement to acquire the plan. The plan operates in 39 of the state’s 46 counties, including the Columbia and Greenville metropolitan areas, through the South Carolina Healthy Connections Choices program.
