Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

In a Current Report on Form 8-K filed with the Securities and Exchange Commission on November 16, 2012 (the “Original Form 8-K”), IEC Electronics Corp. (the “Company”) announced the appointment, on November 14, 2012, of Edward W. Kay, Jr. to the Company’s board of directors. At the time of his appointment, no decision had been made as to the committees on which Mr. Kay would serve. The Company is filing this amendment to the Original Form 8-K to report that, at a regularly scheduled meeting of the Company’s board of directors held on January 30, 2013, the board, upon recommendation of the Nominating and Governance Committee, appointed Mr. Kay to serve as a member of the Audit Committee.

 

No other changes are being made to the Original Form 8-K.
