Item 8.01   Other Event.

 

On February 1, 2013, ROI Acquisition Corp. (the “Company”) hosted a conference call at 8:30 a.m. Eastern Time to discuss the Company’s previously announced proposed acquisition (the “Business Combination”) of EveryWare Global, Inc. (“EveryWare”). A copy of the transcript of the conference call is attached to this Current Report on Form 8-K as Exhibit 99.1.

The Company and its directors and officers may be deemed participants in the solicitation of proxies to the Company’s stockholders with respect to the transaction.
