Item 8.01.   Other Events.

On January 31, 2013 PBF Energy Inc. (the “Company”) issued a press release reporting that its Toledo refinery experienced a drop in steam pressure last night, which was followed by a brief fire beginning at 11:50pm within the Fluid Catalytic Cracking complex (FCC).  Emergency response personnel extinguished the fire in approximately 25 minutes and there were no injuries or known offsite impacts.  The Company expects that it will take several weeks for the refinery to return to planned operations.  A copy of the news release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
