Item 7.01. Regulation FD Disclosure.
On February 1, 2013, MetLife, Inc. issued a press release announcing an agreement with Banco Bilbao Vizcaya Argentaria S.A. and BBVA Inversiones Chile S.A. (together, “BBVA”) under which MetLife will conduct a tender offer for all outstanding shares of AFP Provida S.A. (“Provida”) and BBVA will transfer its 64.3% stake in Provida to MetLife. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The press release is furnished and not filed pursuant to Instruction B.2 of Form 8-K.
