On January 29, 2013, Kinder Morgan Energy Partners, L.P. (the “Partnership”) and Copano Energy, L.L.C. (“Copano”) issued a joint press release announcing that they had entered into an Agreement and Plan of Merger.  The full text of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
