Item 7.01. Regulation FD Disclosure

On January 30, 2012, H&E Equipment Services, Inc. (the “Company”) participated in a conference call with prospective investors in connection with the proposed debt offering in a private placement announced earlier today. During such call, the chief executive officer of the Company noted that the momentum reported during the second and third quarters of fiscal year 2012 continued through the fourth quarter and that he did not expect that there would be any surprises in the fourth quarter results.

This Form 8-K is being furnished solely to satisfy the requirements of Regulation FD in light of the inadvertent disclosure. The Company does not intend to update this information or release similar information in the future.
