Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On January 29, 2013, Artio Global Investors Inc. (the “Company”) announced that Elizabeth Buse resigned from the Company’s Board of Directors (the “Board”), effective January 29, 2013 due to an increase in other professional commitments. Ms. Buse indicated that she has no disputes regarding the Company’s operations, policies or practices.  She was the Chair of the Compensation Committee of the Board and also served on its Nominating and Corporate Governance Committee. Ms. Buse was a member of the class whose term expires at the 2014 Annual Meeting of Stockholders.

 

In connection with Ms. Buse’s resignation, Francis Ledwidge, the Chairman of the Board, will assume the role as Chair of the Compensation Committee. Following the resignation, the Board consists of six directors, four of whom are independent.
