The Company has a 401(k) retirement savings
plan (the "Retirement Plan"), which was merged into the ADP TotalSource Multiple Employer Plan as of March 2012. Under
the terms of the Retirement Plan, employees may, subject to certain limitations, contribute up to 15% of their total compensation.
The Company contributes an additional $0.50 for each dollar of employee contributions up to 4% of eligible employee compensation.
Employees become vested in the Company's contribution at 20% per year over five years. The Company's annual contributions to the
Retirement Plan for the fiscal years ended September 30, 2012 and 2011 totaled $33,000 and $35,000, respectively.
