Item 7.01  Regulation FD Disclosure.

 

Veeco Instruments Inc. (“Veeco” or the “Company”) previously announced that (1) it had received a letter from The NASDAQ Stock Market LLC (“NASDAQ”) notifying the Company that it was not in compliance with the continued listing requirements of NASDAQ Listing Rule 5250(c)(1) because its Quarterly Report on Form 10-Q for the quarter ended September 30, 2012 (the “Form 10-Q”) was not filed on a timely basis with the Securities and Exchange Commission, and (2) Veeco was required to submit a plan to regain compliance with NASDAQ’s requirements for continued listing by January 22, 2013.  On January 22, 2013, the Company submitted this plan to NASDAQ.

 

On January 25, 2013, NASDAQ granted an extension, to May 20, 2013, for the Company to regain compliance with NASDAQ’s requirements for continued listing.
