(d) | On October 2, 2012, Jacobs Engineering Group Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) reporting the election of retired General Ralph E. Eberhart to its Board of Directors on September 27, 2012. At the time of the filing of the Original Form 8-K, the Board had not determined the Board committee(s) on which General Eberhart would serve. The Company is filing this amendment to the Original Form 8-K to report that at its regular meeting held on January 24, 2013, the Board, upon recommendation of the Nominating and Corporate Governance Committee, appointed General Eberhart to serve as a member of the Human Resource and Compensation Committee of its Board of Directors. |
