Item 8.01. Other Events and Regulation FD Disclosure
On January 25, 2013, Donaldson Company, Inc. (the “Company”) announced that the Company’s Board of Directors has increased the Company’s common stock cash dividend to 10 cents per share, payable March 8, 2013 to shareholders of record as of February 15, 2013. As of December 31, 2012, there were approximately 146,600,000 shares outstanding. The current declaration is the 230th consecutive quarterly cash dividend paid by Donaldson over a time span of 57 years.
