Item 8.01. Other Events.
On January 24, 2013, Under Armour, Inc. (the “Company”) issued a press release announcing that Eugene R. McCarthy is resigning as the Company's Senior Vice President, Footwear effective February 22, 2013. A copy of the Company's press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
