Item 1.01. Entry into a Material Definitive Agreement.
 
On January 17, 2013, Hines REIT 2800 Post Oak LP, a subsidiary of Hines REIT Properties, L.P. (the "Operating Partnership"), which is a subsidiary of Hines Real Estate Investment Trust, Inc. ("Hines REIT"), entered into a contract with Invesco Advisers, Inc., (the "Purchaser") to sell Williams Tower, a 64-story office building with an adjacent parking garage located in the Galleria/West Loop submarket of Houston, Texas. The Purchaser is not affiliated with Hines REIT or its affiliates.

Hines REIT originally acquired its interest in Williams Tower in May 2008 for $271.5 million. The net contract sale price for Williams Tower is expected to be approximately $412.0 million, exclusive of transaction costs and closing prorations. Hines REIT expects the closing of this sale to occur in February 2013, but the closing date could be extended to March 22, 2013 under certain circumstances. The Purchaser has funded an earnest money deposit in the amount of $4.0 million and is expected to fund an addition $6.0 million on or before January 25, 2013. There is no guarantee that this sale will be consummated.
