ITEM 8.01. Other Events.

ATLANTA, GEORGIA, On January 22, 2013: Rollins, Inc., a nationwide consumer services company (NYSE:ROL), announced that the Board of Directors approved a 12.5% increase in the Company’s quarterly cash dividend.  The increased regular quarterly cash dividend of $0.09 per share will be payable March 8, 2013 to stockholders of record at the close of business February 8, 2013.  The Company hereby incorporates by reference herein the information set forth in its Press Release dated January 22,2013, a copy of which is attached hereto as Exhibit 99.1.
