Item 8.01 Other Events.

On January 22, 2013, WEX Inc., a Delaware corporation (the “Company”), issued a press release announcing the commencement of a private offering to eligible purchasers, subject to market and other conditions, of $350,000,000 in aggregate principal amount of a new series of senior notes due 2023 (the “Notes”). A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.

The Notes will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), or applicable state securities laws, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws. The Notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.
