Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
|
On January 18, 2013, the Board of Directors of the Company approved of an amendment to the Bylaws of the Company to allow the Board to authorize the holding of meetings of the Company's shareholders solely by means of remote communication as authorized by the Michigan Business Corporation Act.
The foregoing summary of this amendment is qualified in its entirety by reference to the Bylaws of the Company, as amended, filed as Exhibit 3(b) to this Report on Form 8-K and is incorporated herein by reference.
