Lear Announces Pricing of $500 Million

Senior Notes Due 2023

SOUTHFIELD, Michigan, January 14, 2013 - Lear Corporation [NYSE: LEA], a leading global supplier of automotive seating and electrical distribution systems, today announced the pricing of its private offering of $500 million of senior unsecured notes maturing on January 15, 2023, with a coupon of 4.75% (the “Notes”). The sale of the Notes is expected to close on January 17, 2013, subject to customary closing conditions. Lear intends to use the proceeds of the offering, together with its other sources of liquidity, for general corporate purposes, including the redemption of $70 million in aggregate principal amount of our existing notes during 2013, investments in additional component capabilities and emerging markets and share repurchases under our common stock share repurchase program.

The Notes will be offered only to “qualified institutional buyers” in reliance on the exemption from registration pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to persons outside of the United States in compliance with Regulation S under the Securities Act. The Notes have not been registered under the Securities Act, or the securities laws of any state or other jurisdiction, and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities or blue sky laws and foreign securities laws.
