Item 8.01.    Other Events
 
On January 2, 2013, a subsidiary of Pennsylvania Real Estate Investment Trust (the "Company") completed the sale of the Company's interests in Paxton Towne Centre, a power center in Harrisburg, Pennsylvania, to a third party purchaser on terms consistent with those disclosed in the Company's Current Report on Form 8-K filed on November 8, 2012. The sale price was $76.8 million. The mortgage loan secured by this property had a balance of $50.0 million, and the Company used a portion of the sale proceeds to repay this mortgage loan in full. The Company intends to use the remaining cash proceeds, after settlement prorations and payment of closing costs, of approximately $24.9 million for further reductions of debt and for general corporate purposes. Under the agreement, the Company remains subject to contingent obligations of up to $3.3 million until 21 months after the closing date. The Company expects to recognize a gain on sale from this transaction of approximately $33.6 million in the quarter ending March 31, 2013.
