Patrick L. McCrory resigned as a director of Kewaunee Scientific Corporation (the “Company”) on January 5, 2013, the day he was sworn in as Governor of North Carolina.

The Board of Directors of the Company had previously approved an amendment to Section 5.02 of the Bylaws of the Company to decrease the number of directors of the Company’s Board of Directors from seven (7) to six (6), with such amendment to be effective upon the resignation of Mr. McCrory as a director on January 5, 2013. A copy of the Company’s Bylaws, as amended, is filed as Exhibit 3 hereto and incorporated by reference herein.
