Item 7.01 Regulation FD Disclosure.

On January 8, 2013, Emergency Medical Services Corporation (“EMSC”) announced that its wholly-owned subsidiary has acquired all the capital stock of Guardian Healthcare Group, Inc., a home provider of skilled nursing and therapy services, through subsidiaries located in Ohio, Oklahoma and Texas.  A copy of the press release announcing this transaction (together with certain other EMSC-related events) is attached hereto as Exhibit 99.1.
