Item 8.01. Other Events.

 

On December 18, 2012, Headwaters Incorporated (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Deutsche Bank Securities Inc. and Stifel, Nicolaus & Company, Incorporated as representatives of the several underwriters named therein (collectively, the “Underwriters”), relating to the public offering of 10,000,000 shares of the Company’s common stock, $.001 par value per share (the “Common Stock”), at a public offering price of $7.25 per share. On December 19, 2012, the Underwriters exercised their option under the Underwriting Agreement to purchase an additional 1,500,000 shares of Common Stock to cover over-allotments. The closing of the public offering of 11,500,000 shares of Common Stock closed on December 24, 2012.

 

The offering was made pursuant to the Company’s effective shelf registration statement on Form S-3 (File No. 333-179572) previously filed with the Securities and Exchange Commission (the “Commission”), as further amended and supplemented by subsequent filings. The Underwriting Agreement is filed as Exhibit 1.1 hereto and is incorporated by reference herein. The description of the Underwriting Agreement in this report is a summary and is qualified in its entirety by the terms of the Underwriting Agreement.

 

On December 19, 2012, the Company issued a press release announcing the pricing of the public offering. A copy of the press release is filed as Exhibit 99.1 to this report and is incorporated by reference herein.
