On December 21, 2012, Smith-Midland Corporation (the "Company") issued a press release announcing its Board of Directors approved a special dividend on December 11, 2012 of $.05 per share to be paid on December 31st, 2012 to shareholders of record as of December 14, 2012. The Board of Directors felt it important to recognize the value of its shareholders to the Company with this dividend which allows them to take advantage of any potential tax savings in 2012.
A copy of the press release is attached hereto as Exhibit 99.1.
