Item 5.03.  Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Pending Bylaw Amendment

            On December 21, 2012, the Board of Directors of Norfolk Southern Corporation amended the Bylaws of the Corporation, subject to stockholder approval of the amendment at the next Annual Meeting of stockholders, to permit holders of record of at least twenty (20%) percent of the voting power of the Company's outstanding common stock to call a special meeting of stockholders by written request filed with the Corporate Secretary and otherwise in accordance with the Bylaws.   The pending amendments to Article I of the Bylaws are attached as an exhibit to this Form 8-K.
