Item 2.02. Results of Operations and Financial Condition
On December 19, 2012, Herman Miller, Inc. issued a press release announcing its financial results for the quarter ended December 1, 2012. A copy of the press release is attached as Exhibit 99.1.

Item 8.01. Other Events
On December 19, 2012 the company announced the acceleration of the payment of its regular $0.09 per share quarterly dividend. The company previously announced the payment of the quarterly dividend to shareholders of record at the close of business on December 1, 2012, with a payment date of January 15, 2013. The dividend will now be paid on December 27, 2012.
