Item 8.01
Other Events.
The Company and DMRJ Group I LLC, a Delaware limited liability (the “Investor”), are parties to an Investment Agreement, dated as of July 14, 2010, as amended (the “Agreement”). Under the terms of the Agreement, the Company entered into a promissory note with the Investor (the “Note”), whereby the Company was obligated to pay the sum of $6,148,857 to the Investor by December 15, 2012.
On December 15, 2012, the Company failed to pay the amount due under the Note.
