Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 11, 2012, the Board of Directors (the "Board") of NGP Capital Resources Company (the "Company") appointed William K. White to the Board to fill the vacant seat created by the resignation of James R. Latimer III. Mr. White's term will expire at the Company's annual meeting of stockholders in 2013. Mr. White has been appointed to the Audit Committee, the Nominating and Corporate Governance Committee and the Compensation Committee of the Board.
Item 7.01. Regulation FD Disclosure.
On December 14, 2012, the Company issued a press release announcing the declaration of a quarterly dividend of $0.16 per share of common stock. The record date for the dividend is December 28, 2012, and the dividend will be paid on January 7, 2013. The text of the press release is included as Exhibit 99.1 to this current report on Form 8-K.
