Item 8.01.  Other Events.

On December 12, 2012, the Company closed an underwritten public offering of 1,000,000 depositary shares (“Depositary Shares”), each representing a 1/1,000th interest in a share of the Company’s 8% Series E Cumulative Convertible Preferred Stock, with a liquidation preference of $25,000 per share (equivalent to $25 per Depositary Share) at a public offering price of $23.50 per Depositary Share, before underwriters’ commissions and offering expenses.  The Company received net proceeds, after underwriters’ commissions and anticipated offering expenses, of approximately $21.9 million.  The record date for the initial dividend payment for the Depositary Shares issued in this offering will be January 15, 2013, and the initial dividend payment will be made to holders of record as of that date on January 31, 2013.
