Item 3.02 Unregistered Sales of Equity Securities

On December 7, 2012, Golden Queen issued 10,000 shares of common stock to acquire certain patented mineral claims located in Kern County, California. The shares were issued to the vendor pursuant to Section 4(2) of the United States Securities Act of 1933.
