GulfMark Offshore, Inc. Announces Upsized Pricing of $200 Million Private Placement of Senior Notes due 2022

Houston, TX (November 30, 2012) – GulfMark Offshore, Inc. (NYSE: GLF) (“GulfMark”) announced today the pricing of its private placement of $200 million in aggregate principal amount of its 6.375% Senior Notes due 2022 to eligible purchasers. The offering size was increased to $200 million from $150 million. The notes mature on March 15, 2022, and will be issued at 100.500% of principal. The offering is expected to close on December 5, 2012, subject to customary closing conditions. The notes will have substantially the same terms as the $300 million aggregate principal amount of 6.375% Senior Notes due 2022 issued by GulfMark in March 2012. GulfMark intends to use the net proceeds from the notes offering to repay certain existing credit facilities and for general corporate purposes, including to fund vessel construction costs.
