Regulation FD Disclosure.

On December 4, 2012, RCM Technologies, Inc. (the “Company”) issued a press release announcing that its Board of Directors declared the Dividend described in Item 8.01 below. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

Item 8.01. Other Events.
On December 4, 2012, the Board of Directors of the Company declared a one-time special cash dividend (the “Dividend”) of $1.00 per share. The Dividend is payable on December 27, 2012 to stockholders of record as of the close of business on December 20, 2012.
