Item 8.01 Other Events.

It is with great sadness that Old National Bancorp (the "Company") announces the death of Marjorie Soyugenc, a long-time member of the Company’s Board of Directors, on November 28, 2012. Ms. Soyugenc, the first woman elected to the Company’s Board in 1993, served as the chair of the Board’s Community and Social Responsibility Committee, a member of the Board’s Audit Committee and a member of the Board’s Compensation and Management Development Committee.

The Company is grateful for Ms. Soyugenc’s invaluable experience, professional leadership and her compassionate spirit. She led by example and became one of the finest role models for leadership in the community. Ms Soyugenc was a person of great generosity and humility and served as a mentor to many by freely and gracefully sharing her experience and wisdom. Everyone at the Company extends heartfelt condolences to her family, friends and colleagues.
