Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 20, 2012, the Company notified Robin S. Heller, Executive Vice President, Chief Integration Officer, that her position with the Company would be eliminated and that her employment would cease on June 30, 2013. Upon her departure, Ms. Heller will be eligible for benefits under the Company’s existing Severance/Change in Control Policy (Executive Committee Level), which are described in the Company’s 2012 Proxy Statement.
