Item 7.01 Regulation FD Disclosure

On November 27, 2012, Aircastle Limited (the “Company”) issued a press release announcing the pricing by the Company of $500 million aggregate principal amount of senior notes in a private placement transaction (the “Notes Offering”). Under the Notes Offering, the Company will sell $500 million aggregate principal amount of 6.25% senior notes due 2019 (the “Notes”). The Notes were priced at par. The Notes will be offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons pursuant to Regulation S under the Securities Act. The Notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.

The Company plans to use the net proceeds from the sale of the Notes for general corporate purposes, including the purchase of aviation assets.
