Item 8.01 Other Events.
On November 26, 2012, Era Group Inc. ("Era"), a wholly-owned subsidiary of SEACOR Holdings Inc., issued a press release announcing Era's proposed issuance of up to $200 million of senior unsecured debt securities in a private placement. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
