Item 5.02. Departure of Certain Officer; Appointment of Certain Officer.
On November 15, 2012, the Board of Directors of INTL FCStone Inc. (the "Company") appointed Aaron M. Schroeder as Group Controller. Mr. Schroeder replaces James W. Tivy in this position. Mr. Schroeder, 37, has been with the Company and its subsidiary FCStone Group, Inc. ("FCStone") for nearly ten years. Mr. Schroeder has been Chief Accounting Officer of FCStone since January 2008, and prior to that appointment was Director of Accounting, Group Controller and Assistant
Treasurer of FCStone and its subsidiaries. Before coming to work for FCStone, Mr. Schroeder worked as a Senior Associate at the accounting firm, KPMG LLP.
